摘要
目前中国上市公司董事会会议制度的构建忽略了人类心理偏差对于董事会健康运作产生的负面影响。现行上市公司董事会运作采用的是会议集体讨论模式,并且强制要求会议必须在一定人数参与下方可举行,而负责外部监督的独立董事如果数次不参加会议,还会遭到解聘。这种集体会议模式会导致心理学研究所发现的群体极化问题、从众问题、权威服从问题以及社会懈怠问题。这些存在于群体决策中的心理学偏差会导致董事会运作出现问题,因此董事会会议制度的构建者应当吸取心理学研究的成果,放弃董事会会议集体讨论的运作模式,以提高董事会的工作质量。
The current board meeting system in Chinese listed companies does not take into consideration adverse effect of human psychological biases on the healthy operation of the board. Current operation of board meeting takes the mode of group discussion and it requires a minimum number of the board members attending the meeting. Independent directors who are responsible for external super- vision will be dismissed if they are absent from the meeting for a certain number of times. But the mode of group discussion will lead to such problems as group polarization, conformity, authority obedience and social loafing which have been discovered in psychological researches. The psychological biases existing in group decision will cause problems to the operation of the board meeting. Therefore, we should take into consideration the results of those psychological researches when establishing board meeting system abandon current mode of group discussion so as to improve the quality of its work.
