An examination of the nature and functions of state owned pure industrial holding company

控股公司是指一公司拥有其他公司的决定性表决权的股份 ,从而行使控制权或经营管理权的公司 ;纯粹型产业控股公司是指公司拥有子公司决定性表决权的股份 ,通过股东大会和董事会行使控股权 ,它本身不从事产业的生产经营 ;国有纯粹型控股公司是我国企业制度改革的一个结果 .我们认为 ,国有纯粹型控股公司应具备如下四个方面的功能 :1产权经营 ;2行业协调和监管的功能 ;3战略管理的功能 ;

The holding company is a firm, which possesses others' Shares with right to vote to a great degree as to have right to control or manage others. A pure industrial holding company is a firm, which possesses subsidiary company's Shares with right to vote by a large majority and controls his subsidiary company through the subsidiary company's Board and Shareholder meeting. A pure industrial holding company does not engage in production and/or marketing activities like an operating holding company. The state owned pure industrial holding company is a result of the reforms of our enterprises system. In this paper, we examine the nature of state owned pure industrial holding company and propose that its functions should be engaging in property rights, industrial coordination, management and supervision, strategic management and social functions.
