随着《证券投资基金法》修改工作的深入进行,将私募基金纳入法律监管的呼声日高。私募基金与公募基金最主要的区别在于其资金募集方式不同,如何为私募基金构建一个科学的募资法律制度,是我们对其构建科学法律监管体系的基础和前提。本文在借鉴美国相关法律制度的基础上,针对我国《证券投资基金法(修订草案征求意见稿)》的有关规定提出了不足及立法建议。

Along with the amendment work of the＂Secu- rities Investment Fund Law＂in depth,the voice about putting the private funds into the legal supervision is becoming higher. The main difference between private funds and public funds lies in different ways Qf rais- ing fares.lt is the basis and premise that we build the legal regulatory framework for private funds about how to build a scientific legal system of raising fares for it.On the base of learning from the American relevant legal system ,this article put forward the deficien- cies and legislative proposals aimed at the relevant provisions in our country＇s＂Securities Investment Fund Law（revised draft for soliciting opinions）＂.
