The company deadlock is the product of combining the essential characteristic of the close company and the system arrangement of Company Law.The company deadlock makes it difficult for company to work normally as usual.Meanwhile,it also damages the interests of shareholders.Therefore,exploring the solution to resolve the company deadlock has become a real subject of the Company Law.From the relationship between the close company and company deadlock,this paper explores why the company deadlock happens and tries to seek a scientific solution to resolve the company deadlock on the legal basis.
