摘要
肯德基秒杀门事件涉及到电子优惠券能否被单方面取消,取消后是否构成对消费者的侵害,这些问题的解决依赖于电子优惠券法律性质的确定。电子优惠券作为新生事物,其体现了利益原则和效率原则。将其视为附条件生效的合同则会对要约理论进行大的突破;将其视为有价证券无法从民事角度真正解决问题。电子优惠券具有单方作出性、直接法律效力性,因此,电子优惠券从法律角度上属于单方允诺,而且这不仅有利于保护消费者的利益,也可以促使商家谨慎合理使用电子优惠券。
Tbe spike events of KFC is related to whether E-coupons could be unilaterally canceled or not and whether this would constitute an infringement on the consumers after the cancellation. These problems depend on the legal nature of E-coupons. As a new matter, it reflects the principle of interests and the principle of emciency. If we consider it as conditional contract, the theory of offer should be changed. Considering it as marketable securities, we could not solve problem from the perspective of civil. E-coupons have the legal nature of unilateral promises and direct legality. It not only protects the interests of consumers, but also motivates merchants to use E-coupons with caution.
