摘要
从表面上看,公司僵局形成的原因来自股东或董事之间的分歧和对立,但其深层次的原因则来自公司的制度安排和闭锁公司的组织形式。以期待利益落空理论为基础、以法院司法介入为手段解决公司僵局问题,其中赋予股东公司解散请求权是最为常见的方法。
On the surface,corporation deadlock is caused by the difference and opposition among shareholders or directors,but the deeper reason is the arrangement of the company's system and the organization forms of locking company.Based on the theory of looking forward to interest in vain and with the approach of court and justice's intervention the problem of corporation dead lock can be solced,among which it is a most common way to entitle shareholder company to claim of dissolving company.
