摘要
股权重组模式下如何对重组后的公司实施增加注册资本金是山西煤矿企业兼并重组整合后期工作的重要内容。实务过程中,增资受到被整合煤矿企业净资产状况和产权状况、原股东或实际经营控制人经济能力和投资意愿、采矿权价款处置办法等多种因素的影响制约。通过三种增资方式的分析指明了具体增资过程中可供参考的操作方法。
In the model of shares recombination, the implementation of capital increase of new - establishing coal company incorperations is an important question. The implementation of capital inrease will be influenced by those facts of assets and property rights, paying ability and invest wills of primary shareholders, the treatment of value price of coal resource etc. Through three examples of implementations of capital inrease, the article discussed the method in the field of capital incease of coal enterprises of mergers and qcquisitions in Shanxi province.
