河北省上市公司董事会特性与公司绩效的实证研究

An Empirical Analysis on the Characteristics of Board of Director and the Company Performance in Hebei Province

自中国证监会颁布《上市公司治理准则》以来,中国上市公司的董事会制度已经有了很大发展,但是治理是否有效,是否达到了预期的公司治理效果,需要用事实来验证。文章以河北省上市公司为样本,选取其2007年～2010年的数据进行实证研究,试图探求董事会特性与公司绩效的关系,提供这些问题的经验证据,为监管部门进一步完善董事会制度提供借鉴。

Since 2002,the China securities regulatory commission issued the governance of listed company principles,the system of the board of directors of the listed company has greatly developed in china＇s listed company,but management is effective or not,whether to achieve the expected effect of corporate governance,need to use the facts to prove.Taking listed companies of hebei province as a sample,this paper selects of its 2007-2010 years of data for empirical research,trying to seek the relationship of the board characteristics and performance of the company, using empirical evidence of these problems to provide reference for further perfecting the system of the board of directors for regulators.
