摘要
我国现行公司法继续维持既有立法理念和立法原则,仍未明确设立劳动者股权及其收益和保护的条款,与现代公司体制实践及要求相比,研究争议空间较大。有关研究表明,企业劳动资源的商品、资本属性决定着劳动要素收益的工资性、股权性收益;通过公司劳动资源股份化、制度化安排,可使劳动者通过持有企业股份实现工资、红利双重收益,否则劳动者永远不能实现劳动致富的梦想。为此,建议全国人大常委会修订完善现有《公司法》有关条款,增加依法实施劳动资源股份化及其收益保护有关规定;全国总工会进一步强化企业工会组织体系,切实增强劳动者工资、利润等合法权益组织体制保障。
There are no legal provisions about labor share attribute in Chinese present corporation laws which persists in past value and rules,and obviously means a transitional law.On the basis of Marx's theory of surplus value and modern practice about corporation laws,labor has dual-natures of goods and capital.Appropriately labor has two profit attribute of salary and share.When labor share and labor stock ownership are established as two important concepts,the suggestions are given that the labor value theory should be rebuilt by National People's Congress Standing Committee,and laws about labor interests should be set up and independent and labor union should be accepted to fasten the socialism system of Chinese features by All-China Federation of Labor in order to protect the lawful rights of laborer shares.
