摘要
建设工程内部承包合同的效力究竟应当如何认定、在内部承包形式下具有怎样的对内对外效力、实际承包人与发包人或者第三方出现的纠纷应当如何进行解决等,在司法领域莫衷一是。内部承包合同,调整的是双方基本劳动报酬外的经营性利益分配关系。规范的内部承包合同并不同于转包合同或挂靠经营。虽然现有法条在某种征表下似乎是对内部承包合同作出了禁止性的规定,但是如果对法条进行体系的理解与整体的解读,内部承包合同并非属于当然禁止的范围。
In judicial practice,there is no agreement on the defining of the effectiveness of internal contracts of construction projects,the internal and external effectiveness of the form of internal contracting,and the solution to the disputes between the actual contractor and initial contractor or the third party.Internal contracts are to regulate the distribution of operating benefits,except for the labor remuneration of both parties.Normative internal contracts differ from sub-contracting contracts and affiliated businesses.The sub-contracting in substance contains two aspects;firstly,the actual contractor is the third party out of the company,and secondly the company in question does not participate in the management of the construction.With a systematic understanding and overall interpretation of these provisions,internal contracts are not prohibited by law,though existing provisions seem to prohibit internal contracts in a certain form,
