中国国有上市公司治理结构的探析

An Analysis of the Chinese State-owned Listed Company's Governance Structure

公司治理结构作为现代上市公司企业制度的核心,在促进中国上市公司发展方面发挥着重要的作用。当前,中国国有上市公司治理结构存在一定的问题,严重阻碍了上市公司的发展。中国国有上市公司要优化股权结构,规范公司的运作,增强董事会的独立性、有效性和强化董事会外部监督作用,建立有效的激励和监督约束机制。

Corporate governance structure, which is as the core of the modern listed company＇s enterprise system, plays an important role in promoting the development of Chinese listed companies. Recently, there exists certain problem in the Chinese slate-owned listed company＇s governance structure which seriously hinders the development of the listed company. Therefore, through the research on the theory of corporate governance structure, this paper analyses the basic problems existed in the current Chinese state-owned listed company＇s governance structure and puts forward the corresponding suggestions to improve the governance structure.
