摘要
从高薪酬会带来的问题入手,从公司业绩、公司规模、个人能力和董事会独立性四个方面对CEO薪酬的影响进行了实证研究。研究发现,公司业绩与CEO薪酬正相关。并从法律角度对CEO薪酬的规制问题提出合理化建议。
Starting from the problems brought by overhigh compensation, this paper empirically researches on CEO compen- sation in four aspects which are the performance of the company, the company size, personal ability and the board independ- ence. It proves that the company performance and CEO compensation are positively related. It puts forward some rationaliza- tion proposals to the legal regulation of CEO compensation.
