我国有限合伙企业合伙人身份转变规定的完善

合伙人身份转变与合伙人数量变更是合伙人变动的两种情形。我国《合伙企业法》虽对合伙人身份转变作出了一些规定,但在内容上存在着很大缺陷。应当加强对有限合伙企业合伙人身份转变过程中债权人利益的保护。立法者可以通过付与有限合伙企业告知义务和赋予其债权人异议权,以充分保障普通合伙人转变为有限合伙人过程中有限合伙企业债权人的利益。

The changes in partner＇s identity and number are two kinds of concrete situations of partner＇s change.The Partnership Enterprise Law of the P.R.C.has made some adjustments on the change of partner＇s identity,but it has big defects in its content.Chinese current law provisions should reinforce protecting creditors＇ benefits in the course of the partner＇s identity change of Chinese limited partnership.Lawmakers may improve related legal provisions by providing limited partnership＇s disclosure duty and providing objection right for their creditors.This will ensure creditors＇ right enjoyed by the limited partnership in the course of identity transition from general partners to limited partners.
