Corporate restructuring is effectively pushing China's enterprise reform forward at present. Corporate implements corporate restructuring more and more, but due to short of theory, few enterprises have got success.This paper explore how corporate restructuring can get success.The main standpoint of this paper is that the elements of corporate restructuring——portfolio, financial and organizational restructuring, are interactive and complementary.This paper uses lattice theory and supermodular function to analyze corporate restructuring process. Lattice theory is a branch of mathematics. Supermodular has no strict restriction about continuity and derivability, so approaches the economic problem and reality better.
