About Realization of Corporate Mechanism Restructural by Means of Directors' Liabilities

目前中国进行公司制改组 (现代企业制度改革 )的真正实现需要许多条件 ,笔者主要从董事所负义务角度进行探讨 ,将国内外立法对董事所负义务进行了比较论述 ,分析了中国董事难以履行其义务的原因 。

There should be some requirements for the realization of the restructuring corporate mechanism(reformation of modern enterprises system) in China. This paper discusses issues in corporate mechanism structural from the angle of directors'liabilities, makes comparative study of domestic and foreign legislations on directors' liabilities, analyzes difficulties of directors failing to execute their liabilites and proposes corresponding measures.
