At the historical background of building a socialist country ruled by law ,It is necessary to innovate social management by rule of law. The conflicts of public rights and private rights are difficult problems. The solutions to the problems are as follows： effective measures and legal improvements should be aken. And the key to innovation of social management by rule of law is to combine regulations of public rights protections of private rights together.
