制定我国《电子交易法》刍论

On the formulation of Electronic Transactions Law of China

电子交易具有技术化和无纸化的典型特征。数据电文构成了电子交易独特性的基础,对数据电文的内涵应采取广义的理解,其法律效力应得到法律的承认。电子交易的独特性决定了应专门制定《电子交易法》,这已成为国际立法通例。我国现有法律在规范电子交易方面明显不足,因此,有必要修订《电子签名法》,增加电子交易、电子财产、电子信息保护、电子商务中的消费者保护、电子商务促进的内容,并将其更名为《电子交易法》。

Electronic transactions have the typical features of technology and non-paper. The uniqueness of electronic transactions is based on data message, whose meaning should be taken in a broad sense and whose legal validity should be recognized by law. The uniqueness of electronic transactions determines that Electronic Transactions Law should be specially formulated, which has become the international practice of legislation. The current laws of China are obviously inadequate in regulating electronic transactions, thus, it is necessary for China to adapt Electronic Signature Law, increase the contents of electronic transactions, electronic property, electronic information protection, consumer protection in e-commerce, e-commerce promotion in this law, and change the name of this law to Electronic Transactions Law.
