In this paper, the four distributive features of water resources in Gansu Province were described, including less precipitation and great disparity in different region, insufficient surface flow of water, solid reservior\_mountainous glaciers and ground water of large areas. Secondly, the status and problems of water exploitation and utilization of this area were analyzed according to three usage value of water resources\_quality, quantity and energy of water and two basic forms of water resources\_consumption and non consumpition. Finally, the way to dealing with the water problems that can also ensure the balance between quality and quantity of water resources and sustainable development, were put forward from five aspects.
