民营股份制非上市企业科学高效决策机制研究

科学高效决策对民营股份制非上市企业来说至关重要。然而,由于国家法律制度不完善以及企业自身原因,民营股份制非上市企业的决策存在大股东独断专行、家族式的"核心"股东决策局限、股权分散、决策机制混乱和沟通机制不畅等问题。要通过推动企业向"学习型组织"转变、慎重选择专业股东、完善法人治理结构和采取科学高效的决策策略等加以解决。

Scientific decision-making is very important for private unlisted enterpimes in shareholding system.However, dye to the imperfect laws and rules in China as well as many reasons of their own,there are many problems about decision-making by these enterprises, such as being be a law unto strong stock holder, decision -making limitation by the central stock holders, muddling decision mechanism,untluent communication mechanism and so on. An these can be solved by putting the learning organization to work , cautiously choosing professional stock holders ,perfecting corporate governance ,taking scientific dicision-making stratrg：ies and so on.
