摘要
家族企业治理结构事关家族企业的永续发展,但对江浙地区76家上市家族企业的实证研究发现,我国家族企业普遍存在所有权和控制权分离度低、股权高度集中、股权制衡度弱以及人才机制不合理、高管薪酬激励不足等问题。因此,未来中国家族企业应从优化股权结构,健全董事会和监事会结构,优化人才机制和激励机制等方面进一步完善和优化公司治理结构。
The governance structure of the family enterprise has a major impact on its sustainable develop- ment. This study, based on the samples of 76 listed family enterprises in Jiangsu and Zhejiang Provinces, finds that there are many universal problems in the family enterprise such as low separation degree of ownership and control, a high concentration of equity, weak equity balance, unreasonable talent mechanism, insufficient compensation incentives for the executives, and etc. Therefore, the family enterprises in China should opti- mize the equity structure and sound the structure of the board and the supervisory board, optimize talent and incentive mechanisms to improve the corporate governance structure.
