从2008年开始山西省人民政府拉开了被称为"黑色革命"的全省煤矿企业兼并重组大幕,面对这轮大规模的煤炭企业兼并重组浪潮,支持和反对、认同和质疑,不同的声音铺天盖地,不同的利益群体都站在自己的立场来表达自己的诉求,并因此引起了一场广泛的对山西煤企兼并重组合法性及合理性的探讨。通过对山西省煤炭资源重组情况的调查,从法律层面分析山西煤炭企业兼并重组整合过程中最突出的政策、法律、权利争议,提出法律上的合理应对措施势在必行。

In 2008,the People＇s Government of Shanxi Province opened the curtain of the merger and reorganization of Shanxi coal mining enterprises,known as the ＂black revolution＂.A wide discussion on legitimacy and rationality of merger and reorganization has begun owing to controversies from different interest groups.The survey on the merger and reorganization of Shanxi coal mining enterprises shows it is emergent to find out legal solutions to related problems of policy,legislation and disputes over rights and profits.
