独董制度形同虚设，为数众多的学者独董更是因其特殊身份而成为众矢之的。ST天目（600671．SH）新任独立董事叶檀的到来，使这家原本名不见经传的A股上市公司站在了资本市场的镁光灯下。

Many scholars are willing to play the role of independent directors in China. Their professional knowledge is considered important by listed companies. Besides, they can earn a substantial income and may be able to affect policy making by becoming independent directors. However, most of these independent directors in China exist in name only. Their knowledge on the companies is limited and they seldom disagree with strong stock holders or the management teams.Whether a scholar could perform the duty of an independent director without affecting his academic work has been questioned.China’s independent director system needs to be improved.
