中国公司法制结构性改革之公司类型化思考

The Classification of Company in the Structural Reform of China's Company Law

上市公司的相对独立存在以及上市公司法律规范在公司法之外的体系化使得中国公司法制结构性改革的问题逐渐凸显出来。中国公司法应当打破有限责任公司与股份有限公司的分类,以上市与否作为公司类型化的标准。针对公司法对上市公司的规范功能弱化的现象,应通过法律技术的处理解决证券市场监管性立法的合法性问题。以闭锁性公司的概念统一非上市公司,并在闭锁性公司内部再区分立法。肯定关联关系的经济价值,并通过公司法规范的形式有限度地给予承认,以单体公司为模型的公司法结构面临调整的压力。

The independence of listed companies and the system of listed companies＇ regulations independent of company law make the structural reform of China＇ s Company Law stand out. China＇ s Company Law should change the classification of limited liability company and company limited by shares, and adopt the standard of listed and unlisted companies. As to the phenomena of functional weakness of company law in regulating listed companies, we should absolve the legitimacy of regulatory rules of CSRC through legal techniques. We should unify all unlisted companies with the concept of closed companies, make reclassification in it. We should also affirm the economic value of relationship, admit it through regulations of company law, so the structure of company law with the model of single company will face the pressure of adjustment.
