本文对可变利益实体(VIE)结构的特点及在国内的发展状况进行阐述,并通过企业实际案例对VIE结构的政策合规风险、所有权控制风险及可能导致的违规资金流动风险等进行剖析,在此基础上提出了完善VIE结构的政策建议。

The paper expatiates on the characteristics and the development of VIE framework, analyzes the risks such as policy compliance, ownership conirol and illegal capital flow existing in VIE framework, and puts forward policy recommendations on per- fecting VIE framework on the basis of above analysis.
