不完善的社会主义市场经济体制下,政府对经济的干预必然贯穿于公司并购过程的始终。然而,政府的参与行为致使诸多低效率并购亦是时有发生的事情。本文从阐述政府干预公司并购的法理依据入手,总结了政府的行为特征及其不合理的种种表现,意在对政府介入并购的行为进行规范与约束。

Based on the incomplete socialist market economy, government＇s controlling towards economy will be happening all the time during the process of corporate mergers and acquisitions. However, we can often see such low efficiency during mergers and acquisitions caused by government＇s controlling. This paper summarizes the government＇s conduct features and various unreasonable behaviors by describing the legal basis that the government tries to control the corporate mergers and acquisitions. Finally, it will be helpful to regulate and control the government＇s conduct in the mergers and acquisitions.
