Characteristics of independent directors mainly include the characteristics of thier ability and performance duties＇ Willingness and Motivation.The paper based on these two features,uses the recent literature to review of role of these characteristics,and also analyzes the reasons for affecting the characteristics effect,then provide a reference for improving the independent directors＇ system.
