由于现代企业中所有权与经营权的分离，经营者管理目标与所有者目标可能会不一致。因此，所有者应设计一个合理的治理结构来选择和监控经营者。本文着重从“管理效用最大化”目标出发，论述国有企业治理结构中经营者的选择问题。

So, it is necessary for an owner to design an administration structure to select and supervise the manager. In this paper, the author discusses haw to select managers for state-owned enterprises mainly born the perspective of the 'managerial utility maximization' objective.
