摘要
公司在现代社会生活中担当极为重要的角色,公司内部制度也成为现代社会规范体系中愈益重要的一脉,并深嵌于法治的框架之下,同国家法形成各自独立而又上下联动的纵向一体化关系,突破了传统法社会学提出的民间社会规范与国家法的二元结构论。公司内部制度的正当性和合法性源于国家法治尊重财产权利和契约自由的原则,认可其作为社会正式规则系统中的合法部分在自身范围内有效,公共利益原则又使得现代公司内部制度受到国家法的调处,从而平衡公司各利益相关者的权益。符合法定条件的公司内部制度可以具有司法效力而为法院所采信,同时它本身又如同国家法一样应当具备规范的效力层次体系。
Corporations play a very important role in the modern society,and their inner regulations,which have been embedded in the frame of rule of law,also become a key branch in the modern social norm system.These regulations and the state laws form an independent but vertical interactive relationship,thus breaks through the dualistic structure between the folk social norms and the state laws raised by the traditional school of sociology of law.The appropriation and legitimacy of the inner regulations lie in the principles of prosper respect and contractual freedom,which recognize them as a legal part in the formal social rule system taking effect in their own province.The public interests require the state laws to guide and regulate the inner regulations so as to balance the company's relative stake holders.The inner regulations complying with the legal standards can have judicial effect,and they themselves should form a normative effect hierarchy just as the state legal system.
