摘要
中国船舶制造企业目前处于快速发展时期,但总体上仍处于初级阶段。尤其是2008年世界金融危机以来,国内船舶企业面临巨大的挑战。一批近年来新兴的民营船舶企业,由于生产规模小,技术力量储备不足,运转资金匮乏,抗风险能力较低,经营战略风险评估不足,直接导致企业倒闭或破产。为此,船舶企业兼并重组势在必行,在企业重组时要着重考虑兼并重组的动因、时机、对象、风险等因素,制定有效的兼并重组方案和风险评估机制。在兼并重组后,为有效实施企业发展战略和打造核心竞争力,要及时开展整合研究,在文化整合、人力资源、生产经营和资产债务方面有效运作,从而保证船舶企业兼并重组后良好运行和健康发展。
China's shipbuilding enterprises are booming currently and still stay in its primary stage. They have been facing more serious challenges since world financial crisis in 2008. A group of newcomers, masses run ship plants bellied up due to their small scope of production, weak technical storage, less operational fund, lower capacity against risks, and inadequate evaluation of strategic risks. Therefore, it is urgent for them to merge and regroup. During their reorganization, motive, chance, object and risk should be considered to draw up an effective merger and regrouping plan and form risk evaluation mechanism. When the regrouping finished, these enterprises would carry out their plan for development and sharpen their core competitiveness and integrate their research on time, take effective operations in cultural integration, human resources, production operation and capital debts, so as to ensure their sound operation and smooth development.
