摘要
利用高阶理论从高管团队、董事长及董事长和高管团队的特征差异三个层面探讨了高管特质与公司治理违规的关系。基于沪深两市高管和公司治理违规数据的分析表明,高管团队的受教育水平和年龄与公司治理违规显著负相关,董事长年龄和企业社会资本与公司治理违规显著负相关,进一步的研究表明,董事长与高管团队特质差异在性别和受教育程度方面与公司治理违规显著相关。
Based on the Upper Echelons theory, we study the correlation between character of the top manage- ment and corporate governance violation in the following three aspects: the top manager, the chairman of the board and the character differences between the chairman of the board and the top manager. By analysis data of the top management and corporate governance violation of listing corporate in Shenzhen and Shanghai, we find that, the education and age of the top management is negative correlated with corporate governance violation sig- nificantly, and the age and social capital of chairman is negative correlated with corporate governance violation significantly; further research shows that, the gender and education difference between chairman and the top man- agement is significantly correlated with corporate governance violation. We extend research of the Upper Echelons theory in the China context, and have a meaning in human capital management and corporate governance of the public corporations
