基于行政垄断的董事会治理分析——以烟草企业为例

Analysis of Operation of Corporate Board Based on Administrative Monopoly System:Chinese Tobacco Industry as an Example

董事会的运作方式与效率直接决定了公司治理的质量和效率,董事会建设在公司治理结构中处于核心地位。本文通过对目前烟草行业公司治理中董事会建设存在问题的分析,提出加强董事会建设对于完善烟草行业公司治理、提升企业效率的重要性,认为对于实行国家垄断经营的烟草企业,加强董事会建设是实现科学管理的有效途径,并对烟草企业的董事会建设提出了建议。

Operation and efficiency of the board will determine the quality and efficiency of corporate governance. The construction of the board is the center of corporate governance. For the tobacco industry which operated by state monopoly, strengthening the board is a valid approach to carry out scientific management. Through analyzing the issues of board construction of corporate governance in tobacco industry, this paper emphasized the importance to enhance the tobacco industrial corporate governance and to improve efficiency of corporate through strengthening the board construction, and proposed suggestions on the board construction of tobacco industrial corporate.
