Discussion on the Rules of the Right to the Family Contracted Management of Land as the Contribution of the Corporation——Basing on Dual Capital System

家庭承包土地经营权作为出资物入股公司节省了交易成本,具有经济合理性。然而,由于家庭承包土地经营权担负社会保障功能,家庭土地承包经营权入股公司与现行公司法资本制度和治理制度在一定程度具有不相容性,因此,有必要对其采用特别规则,包括:公司双重资本制、农户股东退出制度、保障农户利益特别分红制度和农户股东特殊表决权制等以确保家庭土地承包经营权顺利流转和资本化。

The RFCML （ Right to the family Contracted Management of Land ） , which is the contribution to company, can decrease the transaction cost between the peasants and the investors. However, because RFCML is regarded as the security for the peasants, the transaction of the RFCML is limited. The contribution of RFCML conflicts with the Corporation Law. In order to capitalize the RFCML, we need to shape the rules of the corporation law, such as the dual capital system of the corporate, the system of quiting right for the peasants, contracted right of the dividend distribution and the special voting fight of the peasant.
