董事责任保险的附加承保范围——公司实体责任保险研究

目前,我国保险公司销售的董事责任保险并不包括公司实体责任保险这一附加承保范围,因此,当公司因遭遇证券民事赔偿诉讼而与董事和高级职员承担连带责任时,赔偿责任以及抗辩、和解费用的分摊就成为一个非常棘手的问题。为了及时解决分摊难题并增强公司的赔偿能力,应当借鉴美国保险公司的实践经验,在董事责任保险中附加公司实体责任保险。

At present, the D＆O insurance sold by our insurance companies does not include the addi-tional coverage of corporate entity coverage. When the company suffered securities civil action for dam-ages and became jointly and severally liable with the directors and officers. The allocation of liability as well as the defense and settlement costs becomes very troublesome. To solve sharing problems and en-hance the company＇s compensation in a timely manner, we should learn from the experience of insur-ance companies in the United States and add corporate entity liability insurance in D＆O insurance.
