独立学院法人制度若干问题探究

The Study on Legal Person System of Independent College

独立学院是由普通高等学校依法按照新的机制和模式创办的一种新型二级学院,独立学院的法人制度是指导、规范独立学院的各类行为的准则,是依法治校的具体体现。独立学院建立法人制度,一方面是从法律的角度明确独立学院的地位,另一方面要求独立学院的一切活动在法治的视野下进行。我国涉及独立学院法人治理的相关法律法规甚少,有些关于独立学院法人治理的行政规章甚至有悖于法律原则,现实中独立学院发生的法律问题层出不穷。教育部第26号令明确规定独立学院必须建立完善的法人治理结构,从而使得研究独立学院的法人制度不仅具有理论研究的学术价值,而且具有重要的社会意义。笔者以法人制度基本理论为基础,类推参照公司法人理论,探讨高校独立学院设立、法人治理、解散及破产等问题,并提出完善独立学院法人制度的建设性思路。

Independent College was a new type of secondary college which established by common universities according to the new mechanism and model. The legal person system of independent college is astandard to guide the behavior of independent colleges, a necessary requirement of rule of law and an embodiment of governing the university with law. For independent colleges, the establishment of legal personsystem on one hand is to clear the status of independent college from a legal point of view; on the other hand, it requires that all the activities of independent colleges should be governed by the rule of law. However, the rulesinvolving the legal person system of independent college cannot meet the requirements of current situation. Moreover, some administrative rules are even contrary to the principles of law, and large amounts of problemsbegin to emerge in legal field. The order of Ministry of Education N0.26 formulates the independent colleges should set up a perfect corporate governance structure. So that the study on the legal person system ofindependent college not only has an academic value in theoretical study, but it also has great social significance to fully implement the national ＂12th Five-Year＂ Educa＇5on Development Plan. Based on the basic concept oflegal person system, this paper discusses some of hot issues about establishment of the independent college, the system of corporate governance and the bankruptcy of the independent college by analogy with the corporategovernance theory, and generates some new ideas on these issues, attempting to provide constructive ideas concerning the improvement of the corporate governance system of the independent college.
