Analysis on Some Difficulties in the Conversion of Debt into Stock

债转股运作中存在着如下难点：（１）政府参与运作要遵循市场规则；（２）受惠企业应构建现代企业制度；（３）建立金融资产管理公司有效退出机制。

This article analyses some difficulties in the conversion of debt into stock as follow: government should obesrve the rules of market; modern enterprise system must be established in enterprises that benefit from it; effective withdrawal mechanism for financial assets management corporation must be set up.
