摘要
本文通过对有限责任制度的反思，指出根据市场经济国家的有关立法、判例、学说，结合我国的实际，对有限责任的一般适用条件作出明确规定的时机业已成熟，对有限责任的例外情形的规范在立法上则应谨慎，宜采概括式。
In the light of cases, theories and the reality of our country on the market economy, the opportunity for regulating general applicable conditions of limited liability definitely has been coming, therefore, regulating exceptions in the process of legislation should be punctilious, and the form of generalization should be adopted.
