独立董事:权力制约下的悖论、衡平及超越

Independent Director:Paradox,Equity and Transcendence under the Balance of Power

股东会、董事会同以经理为首的管理层之间的制衡关系,是公司治理结构的核心命脉。不过,无论是在一元制治理模式还是二元制治理结构中,均存在制衡失调的现象。为了衡平彼此之间的权利,独立董事制度便被引入公司治理框架之中。鉴于独立董事在解决我国上市公司所遭遇之"一股独大"难题上的收效甚微,我们不应该再仅仅局限于独立董事制度自身的完善,而应在对不同治理框架进行追本溯源的基础上实现对现有模式的超越。

The relation of balance between shareholder meeting,board of directors and management layer headed by manager is the core lifeblood of corporate governance structure.However,whether it is in a unified management mode or binary governance structure,there is a phenomenon of balance disorder.In order to balance among the rights,independent director system is introduced into the framework of corporate governance.In the face of the little effect that independent directors is used for solving the problem of ＂One Stock Dominance＂ encountered by Listed Company in China,we should not be confined only to the improvement of independent director system,but achieve the transcendence over existing modes based on thoroughly analyzing the different governance framework.
