文章主要对山东柳桥村人股制企业高效的融资机制和公司治理(治理结构和分配机制)进行了实地调研和经济分析。人股制度是以人力资本作为股份参与企业分红的新型企业产权制度。人股制度的融资优势主要有:企业投资者和经营人员的利益目标一致、信息可以有效传递到企业外部、投资者的权利结构能够更好的约束经营人员;人股制度的企业治理优势主要有:企业内各种要素的平等性、委托人和代理人的信息对称性、人力资本和物质资本的独立性、契约的长期性和操作的简单性。人股制是一种值得推广的新型企业产权制度。

This paper mainly makes a field survey and economic analysis on the efficient corporate financing mechanisms and the corporate governance about the people share system of the Liuqiao village in Shandong province.The people share system is a kind of new enterprise property right system based on the human capital as equity participation in corporate dividends.The financing advantages of the people sbare system are as follows, the consistence with the interests of target between the enterprise investors and the management personnel, delivering efficiently the information to the external enterprise, the fights of investors＇ structure better able to constraint management personnel.The advantages of enterprise management about the people share system are as follows, equality of the various elements within the enterprise, principal and agent information symmetry, the independence of the human and physical capital, long-term nature of the contract and simplicity of operation.People share system is a kind of new enterprise property right system which is worthy to promote.
