摘要
股权投资与证券投资相对应,是一种投资领域限于非公开交易股权的投资行为。股权投资是金融创新和产业创新的结果,是近年来全球金融市场的重要现象。股权投资是一个动态的概念,随着资本市场实践的发展而不断完善,对其法律属性的认识也在不断发展之中。对股权投资法律属性本质理解的不透彻性,导致了大量不规范的运作和系统性风险的产生,致使我国直接融资资本市场发展延滞,因此全面考证股权投资的法律内涵和法律属性具有重要意义。
It seems that misunderstanding the conception of Private Equity leads to a large number of irregularities in the operation. One of the results is the less development in Chinas direct financing. The equity investment is a dy- namic concept, with the development of capital market and continuous improve- ment of practice. Corresponding to securities investment, Private Equity is an in- vestment behavior which is focused on the trading of non-publicly equity. As a typical commercial conduct, Private Equity not only has the major features of the civil agency, but also reflects the characteristics of the commercial agent.
