我国合伙企业合伙人类型异动与数量异动规定的完善

The Perfection of the Legal Provisions' on the Abnormal Change of Partners' Type and Quantity in China's Partnership Business

合伙人数量变更会导致合伙企业出现两种极端状况即合伙人类型异动(有限合伙企业仅剩一类合伙人)与合伙人数量异动(合伙企业仅剩一个合伙人或者合伙人数量"超标")。对于这两种异动情形,现行法律或作出规定但存有瑕疵,或根本未作规定。因此,完善我国合伙企业合伙人类型异动与数量异动规定有其必要性与迫切性。

Partners＇ quantity change could lead to two kinds of extreme conditions of partnerships,that is,the abnormal change of partner type and partner quantity.The former only remains one kind of partner in a limited partnership;the latter only remains a partner in a partnership or partners＇ quantity exceeding the criteria.For the two kinds of extreme situations,current law makes defective provisions or even doesn＇t make any prescription at all.Consequently,the perfection of the legal provisions on partners＇ type and quantity abnormal change in partnership business in China has its necessity and urgency.
