我国《公司法》第5条之检讨

Review of Article Five in Company Law of the People's Republic of China

我国现行《公司法》将公司社会责任考虑在内,是一大进步。然而,由于现行《公司法》对公司社会责任规定比较抽象,不利于公司对公司社会责任的践行,也使得司法实践中与公司社会责任相关的案件陷入困境。参考国外公司社会责任之发展,结合我国文化及制度背景,对公司社会责任之内涵作出层次性界定有益于问题的解决。

The social responsibility of the company is taken into consideration of the current Company Law of the People＇s Republic of China,this is a great progress.However,the current company law on corporate social responsibility regulation is Abstract,this is not good for the practice of the corporate social responsibility,and making the judicial cases about the social responsibility of the company in trouble.Referring to the development of foreign corporate social responsibility,and combining with our country＇s culture,the social responsibility of the company to make the connotation definition hierarchy is beneficial to solve the problems.
