摘要
对商标使用者利益的保护,应首先界定不同语境下的商标使用人。针对商标许可合同,使用者享有在一定地域和时间范围内的商标使用权,保证商品质量并支付使用费用。许可合同期间商标增值部分及其利益分配需要在合同中明确约定;合同期满后,如无特别约定,商标使用者不能分配和转移商标增值部分及其商誉。商誉的移转只能发生在同一商标权的出让上。加多宝利用其已有的商标、商号和特有的商品包装装潢等商誉载体,通过广告宣传和市场营销手段,不断经营商标并累积自身的商誉,不能认为是对王老吉商誉的移植。
The protection of the interests of the user of the trademark, we should first define the trademark users in different contexts. Trademark users enjoy the right to use the trademark in a certain place and time within licensing contract, and the guarantee of the quality of the goods and pay a fee. During license contract, trademark added value and its distribution of benefits need to be expressly agreed in the contract. After the expiration of the contract, if no special agreement, the user of the trademark can not assign and transfer the trademark value-added part and its goodwill. Goodwill migration can only occur in the transfer of the same trademark. JDB use his own trademarks, trade names and unique merchandise packaging and decoration by means of advertising and marketing, continuously operating trademarks and accumulate their own goodwill, so JDB can not be considered transplant Wanglaoji's goodwill.
