摘要
美国公司法的联邦主义立法结构形式,促成了其公司法的州际竞争格局,演绎了美国公司法的繁盛景象。在中国单一制的政治体制下,实行公司法立法结构上的地方分权有其前期的实践铺垫,多元化的公司法律制度供给主体的存在能够在很大程度上缓解公司法与商业社会的脱节现象,使公司法规则更具适应性品格,并能在一定程度上提升中国公司的国际竞争力。
The federal legislative structure of American corporate law brings about the interstate competitive pattern and initi- ates its flourish. Under China＇s unitary political system and based on former practices of decentralization in legislative structure of corporate law, diversified corporate legal system could to a large degree remit the disjunction of corporate law and commercial society, making corporate rules more adaptable and enhancing international competitiveness of Chinese companies.
