《公司法司法解释(三)》规定,隐名股东、显名股东与公司之间的股东资格进行确认时,未经公司其他股东过半数以上同意,隐名股东就不能享有公司的股东资格,其只能向显名股东要求支付投资权益。可见该司法解释坚持了股权完整地属于一人的规定。此种情况下,隐名股东完全处于被动状态,在显名股东不履行支付义务时将可能会导致隐名股东遭受无法救济的损失。有限责任公司的人合性决定了股权的财产性权能可以与股东分离。这种分离防止了股东资格确认时给隐名股东带来的风险,也维护了有限责任公司的人合性本质,具有理论和实践意义。

The judicial interpretation （three） ＂Company law＂regulates that the dormant shareholders do not enjoy the company shareholder qualification, the only apparent shareholders to demand payment of invest- ment rights and interests,when the dormant shareholders, apparent shareholders and company are qualifi- cated, they arn^t agreed by the more than a half of the company＇s other. Visibly the judicial interpretation has insist on equity completely which belongs to a person. In this case, the dormant shareholders is com- pletely passive, when the apparent shareholders do not perform the payment obligation, which will likely result in dormant the shareholders ~suffered losses to relief. Characters based on shareholders in the limited liability company decideds that equity property power can be separated from shareholders. This prevents the shareholder qualification to the dormant shareholders risks, but also to maintain the limited liability company nature of the characters based on shareholders, which is of theoretical and practical significance.
