摘要
在经济全球化的背景下,建立具有中国特色的公司法人治理结构是我国公司进行股份制改革的目标之一。本文从股权结构、机构投资者、债务融资因素以及公司的独立董事等因素对公司治理效率影响进行了回顾,以期为未来深入的研究提供一定的思考。
In the background of economic globalization, establishing a the corporate governance structure with Chinese characteristics is one of the goals of the reform of our country enterprise share-holding system. This paper reviewed the ownership structure, institutional investors, debt fi nancing and the factor of independent board of the company and factors of influence management efficiency, in order to provide certain future further research of the thinking.
