摘要
在整合目标公司的管理思想、制度和机制时 ,要进行充分的调查分析 ,既要实现管理模式的一体化 ,又要认清并购双方管理模式的边界 ,处理好企业规模扩大和管理能力的关系 ,注意规避并购整合中的制度“陷井”和财务“陷井” 。
When integreting the managerial ideology, system and structure of a tarket enterprice, a sufficient investigation must be made. Not only the integration of managerial forms is to be realized, but also the fringe of managerial patterns of the both sides of the enterprices be distinguished, the relations between the enterprices′s expansion and managerial capacity be handled properly and the system ″traps″ and financial ″traps″ in the process be avoided so as to guarantee and promote the efficiency of integral management and the value of the merger and purchase.
