The Corporate Law and the Modern Enterprise System

在我国市场经济条件下，建立现代企业制度是国有企业改革的方向。只有按照“产权清晰，权责明确，政企分开，管理科学”的要求，运用《公司法》对国有企业改革全过程进行引导和规范，才能保障和推进现代企业制度的建立与完善。为此，我们必须认真学习和严格执行《公司法》，坚持《公司法》所确立的基本原则和基本制度，真正做到依法开创国有企业改革和发展的新局面。

Under current market economy conditions, reforms of state-owned enterprises in China must aim at the establishment of the modem enterprise system, but the system cannot be said to be complete until it satisfies the requirements that 'property rights should be accurately defined, power and obligations clearly established, enterprise operations independent of administration,and management scientific', with the whole process of state-owned enterprise reform guided and stan- dardized by The Corporate Law. For that purpose, The Corporate Law must be carefully studied and implemented, and the basic principles and systems embodied in The Corporate Law observed,so that a new prospect of legally regulated reform and development of state-owned enterprises can be ex- pected.
