一人公司制度在我国经历了很多的曲折,从最初的否定到最终的肯定,历经艰辛。2006年实施的《公司法》在立法方面又略显粗糙,造成这些立法缺陷的原因有多种,但国内一人公司制度理论研究缺乏可能是其主要因素。本文着眼于一人公司制度,从一人公司的发展历程,一人公司的分类和一人公司的法律特征三个方面进行阐述,以便深入一人公司制度的基本理论研究,为今后更好地完善一人公司制度有所帮助。

One-man company system has undergone many tortuous paths from initial disapproval to the final approval.The Corporation Law implemented in 2006 was a little rough in legislation.There are many reasons attributing to the legislative defects.But the lack of theoretical researches of domestic one-man company system might be the main factor.Focused on the one-man company system,the article makes an elaboration from the three aspects of the development course,classifications and legal features of one-man companies so as to make a profound research on the basic theories of one-man company system,hoping to provide some help for better improving the one-man company system in the future.
