摘要
合理的企业法律形态对于经济运行的安全与效率以及经济活动参与者的权益都有着重大的意义。在法经济学看来,企业法律形态在其内部关系上是资源因素和成本因素的有机结合;而在外部关系上是体现社会整体交易成本的企业契约。我国的企业法应当在坚持企业形态法定主义原则的基础上,增加适合小微企业的法律形态的自主性,给其预留更大的自治空间。
Reasonable Legal forms of enterprises can exert a great influence on the safety and efficiency of the economic performance as well as the rights of performer carrying out the economic activity. From tile viewpoint of law economics, legal forms of enterprises is internally the combination of resource and cost, and externally the enterprise contract which shows the social transaction cost as a whole. Enterprises in our country should insist that the principle of statutory enterprise forms be coordinated with the suitable increase of the legal independence of small enterprises to help them enjoy more autonomy.
