中国一人公司法律制度探析

The study of the legal questions on one-person company in China

2005年,中国在修订公司法时承认了一人公司的合法地位,作为一项新的法律制度,规定有诸多不完善之处。本文结合公司法承认一人公司合法地位后在实践中出现的问题,指出中国一人公司制度存在的不足,并提出完善建议。

In 2005 China revised Company Law in recognition of one - person company＇ s legitimacy, but, one-person company as a new legal system, there will be mistakes and flaws, but in recent years the application of law, also show many problems. This article aims at combining the＂ company law＂ one-person company after the problems appeared in practice, and points out that China one-person com-pany system exists the insufficiency, and proposed suggestions.
